These Terms and Conditions (“Terms”) govern the relationship between Ad Gurus Consultancy LLC, a company registered under the laws of the United Arab Emirates (UAE), and any party (“Client”) engaging with its services or website theadgurus.com.

By accessing the Site or purchasing services, the Client acknowledges having read, understood, and agreed to these Terms.

1. Services

Ad Gurus Consultancy LLC provides marketing management, advertising campaign setup and management, content creation, affiliate commission programs, and related consultancy services (collectively, the “Services”).

2. Engagement and Delivery

• Service delivery shall commence upon receipt of required client materials, including but not limited to content, brand assets, and account access credentials.

• Campaign setup will typically be completed within seven (7) days following receipt of all required materials.

• Ongoing management and reporting will continue as per the selected subscription or contract terms.

3. Payments

• Payments may be made via Stripe or bank transfer as per the Client’s choice.

• Services are billed on a recurring monthly basis unless otherwise agreed in writing.

• The Client is responsible for any bank or transaction fees incurred.

4. Cancellation and Refund Policy

• Clients may cancel their subscription at any time before the end of the current billing month.

• Upon cancellation, the subscription will be terminated at the end of the current cycle, and no further charges shall apply.

• No partial or retroactive refunds shall be issued for services already rendered.

5. Affiliate Commission Policy

• Affiliates shall receive commission payments weekly, subject to verification that referred clients have completed payment.

• Ad Gurus Consultancy LLC reserves the right to withhold or adjust commission payments in cases of fraud, chargebacks, or policy violations.

6. Client Obligations

The Client agrees to:

• Provide timely access to ad accounts, necessary data, and creative assets (including raw video materials).

• Ensure payments are made in full and on time.

• Refrain from using the Services for unlawful, misleading, or unethical purposes.

Failure to fulfill these obligations may result in service suspension or termination without refund.

7. Intellectual Property

All materials, creative works, and campaign assets produced by Ad Gurus Consultancy LLC remain the intellectual property of the Company until all dues are settled in full.

Clients are granted a limited license to use deliverables for their own commercial purposes upon full payment.

8. Limitation of Liability

Ad Gurus Consultancy LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Services.
Our total liability shall not exceed the amount paid by the Client in the month preceding the claim.

9. Confidentiality

Both parties agree to maintain the confidentiality of all business, technical, and financial information exchanged during the course of engagement.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically under the jurisdiction of the Sharjah Media City Free Zone (Shams Free Zone).

Any dispute shall be resolved through arbitration in the Emirate of Sharjah, UAE.

11. Amendments

Ad Gurus Consultancy LLC reserves the right to amend these Terms at any time. Updated Terms shall become effective upon publication on the Site.
